Primary Responsibilities:
• Negotiating master agreements from a Japanese law perspective
• Assisting primary coverage lawyers as required, on any and all legal, transactional and/or regulatory matters/issues, including the negotiation, review or drafting of the relevant agreements, presentation/marketing materials, etc. relating to, or advising on, the following:
IBCM: M&A advisory, corporate loans (syndicated, structured, mortgage/share backed or otherwise), and equity/debt capital markets transactions (including self-investments in MSCBs/MSWarrants)
Equities: electronic trading, commission sharing arrangements, clearing, prime brokerage, etc.
Solutions: structured notes, derivatives (primarily equity and credit derivatives), derivative embedded structured funds, insurance related products, securities lending
Asset Management: origination and structuring of Cayman/Lux funds and the distribution into Japan
Private Banking: loans (mortgage/share backed or otherwise)/deposits to individual and corporate clients, sale of senior/subordinate/structured notes/funds/stocks, discretionary investment advisory, private company M&A, business succession to the next generation, strategic inheritance arrangements, etc.
• Providing legal support for local entities related matters
• Assisting other lawyers in relation to internal investigations on incidents/client disputes, and handling client complaints/disputes/litigations strategically with or without external counsel
• Providing administrative and organizational support in relation to all of the above areas
• Assisting with execution of legal documents and maintaining records and files
• Contributing legal input to business led projects
• Working closely with Front Office, Compliance and other departments
• Working closely with GC in APAC and other jurisdictions
• Following up and liaising with internal and external clients, and external counsel on queries in a timely and professional manner
応募資格(必須経験など)
Qualified lawyer, with 4+ years experience in a reputable law firm or a financial institution
Experience in working in an international organization preferred
Legal experience in investment/commercial banking business/transactions would be advantageous
The candidate will be expected to demonstrate a strong knowledge of the relevant legal and regulatory framework mixed with outstanding legal interpretation skills and exercise of judgment
Experienced in the adaption and interpretation of Japanese laws and regulations into practical day-to-day business practices in support of the overall business aims
Native level Japanese language ability, both orally and in writing. Ability to draft and comment on Japanese language legal documentation a necessity
Business level English language ability, capable to draft and comment in English
A proactive learner and team-player, able to provide practical solutions
An outstanding drive to carry matters through to a successful completion with internal clients and partners
